Annual Report and Financial Statements 2026

On 21 August 2026, the Company received a
requisition notice from Saba Capital Management,
requesting that the appointments of three Directors
are put forward as ordinary resolutions at the 2026
AGM. Following the requisition notice, Saba publicly
stated that, should the nominated Directors be
appointed, they would urge the Company to offer a
100% cash exit. The Board considers this proposed
cash‑exit opportunity to be a reasonably possible
consequence of the AGM outcome, although the
appointment of the nominee Directors would not
itself require such an exit, no such proposal has
been approved or committed to and the level of
shareholder participation in any future proposal
cannot presently be reliably predicted.
The Board has undertaken voting analysis and
tender offer modelling, including analysis of the
sensitivity of the AGM outcome to shareholder
turnout and voting behaviour and of the potential
financial consequences of a subsequent cash exit.
This analysis indicates that a 100% immediate cash
exit is not currently executable in full because of
limitations on the Company’s distributable reserves
and available liquidity and restrictions affecting
the transferability of the unquoted portfolio.
The amount of cash that might ultimately be
required would depend materially on the level of
shareholder participation, which cannot presently
be reliably predicted. Accordingly, the scale of any
cash requirement and its resulting effect on the
Company’s financial position and liquidity cannot
currently be determined with sufficient certainty.
If shareholder participation in a future cash exit
were to exceed the Company’s estimated immediate
tender capacity, additional actions would be required
before that participation could be satisfied in full.
Depending on the circumstances, those actions
could include further realisation of investments,
permitted transfers of unquoted investments, one or
more staged liquidity events or other mechanisms
for returning value to shareholders. The availability,
sequencing and effectiveness of those actions
would depend on the circumstances prevailing at the
relevant time, including market conditions and the
legal, contractual and other restrictions affecting the
Company and its investments.
Depending on the eventual structure of any cash
exit and the level of shareholder participation, the
resulting cash payments and investment realisations
could materially reduce the size of the Company
and its liquid asset base. In particular, the realisation
of quoted investments ahead of the realisation or
permitted transfer of unquoted investments could
result in the Company continuing to operate for
a period with a smaller and more concentrated
residual portfolio containing a materially greater
proportion of unquoted investments. The realisation
or permitted transfer of those investments could
take place over an extended period. The timing,
structure and financial consequences of any such
actions, including the composition and liquidity
of any residual portfolio, cannot presently be
determined with sufficient certainty.
As the outcome of the Saba Director resolutions,
whether and in what form any subsequent cash‑exit
proposal would be proposed and approved and the
level of shareholder participation cannot be determined
with certainty, together with the nature and timing
of the actions that might be required to satisfy such
participation, the Board has concluded that there is
a material uncertainty related to events or conditions
that may cast significant doubt upon the Company’s
ability to continue as a going concern in its present
form. This uncertainty does not arise from concerns
regarding the Company’s current financial position or
its ability to meet its existing liabilities as they fall due.
At the date of approval, the resolutions have not been
passed, no cash‑exit proposal has been approved or
committed to, and the Company has substantial assets
and liquidity available to meet its existing obligations.
The Directors have also identified actions that could
be available should shareholder participation in any
future cash exit exceed the Company’s immediate
tender capacity, although the timing, structure and
consequences of those actions cannot presently be
determined with sufficient certainty. The Directors
therefore consider that, notwithstanding this material
uncertainty, it remains appropriate to prepare the
Financial Statements on a going concern basis.
Having considered the Company’s current financial
position and liquidity, its principal and emerging
risks and the matters described above, the Directors
consider that there are realistic alternatives available to
the Company should the potential cash exit crystallise
and that it remains appropriate to prepare the Financial
Statements on a going concern basis. This conclusion
is made notwithstanding, and does not remove, the
material uncertainty described above. The Directors
have also considered the principal and emerging risks
and other matters set out in the viability statement
on page 59, which assesses the prospects of the
Company over a period of five years. That longer‑
term assessment has taken account of the same
uncertainty relating to the Saba Director resolutions
and the possible consequences of any subsequent
cash exit, including the potential requirement for
further investment realisations, permitted transfers of
unquoted investments or staged liquidity events should
shareholder participation exceed the Company’s
immediate tender capacity.
